FD MALL CLUB LOYALTY PROGRAMME TERMS AND CONDITIONS

 

1.

FD MALL CLUB PROGRAMME

 

1.1

FD MALL CLUB Loyalty Programme (“FD MALL CLUB”) is managed and operated by Anway Limited and Sky Connection Limited  (“FREE DUTY”) and is governed by the Terms and Conditions set out herein (“Terms and Conditions”).

 

1.2

The submission of an application for membership to FD MALL CLUB is deemed to be an acceptance of these Terms and Conditions.  

 

1.3

Upon becoming a member of FD MALL CLUB, the member shall be deemed to have agreed to and be bound by these Terms and Conditions. 

 

 

2.

DEFINITIONS

 

2.1

Accumulated Spending 

means the total amount of spending by a Member, which is qualified for accumulation under the Programme.

 

2.2

Benefit(s)

means any services, benefits, privileges, promotions, offers, rewards or the like offered or to be offered to the FD MALL CLUB Members and Members by FREE DUTY or any third parties (including but not limited to the Designated Merchants) under the Programme from time to time. 

 

2.3

Designated Premises

means any commercial premises other than website www.fdmall.hk (FD MALL) (whether in Hong Kong or in Mainland China) as may be designated by FREE DUTY from time to time. 

 

2.4

Designated Merchant

means any merchant who offers or will offer services, benefits, privileges, promotions, offers, rewards or the like to the Members under the Programme subject to the applicable terms and conditions, whether specified herein or the otherwise.

 

2.5

Membership

means an electronic Membership registered on website and issued to a Member for enjoyment of the Benefits. The registered name shall be the same as the applicant’s official identity document and FREE DUTY reserves the right to seek verification from the applicant.

 

2.6

Hong Kong

means the Hong Kong Special Administrative Region. 

 

2.7

FREE DUTY

means Anway Limited and Sky Connection Limited, two companies incorporated in Hong Kong with registered office at Units 817-823, 8/F, Trade Square, 681 Cheung Sha Wan Road, Cheung Sha Wan, Kowloon, Hong Kong. 

 

2.8

Discount

means the means of payment to be used in website www.fdmall.hk or Designated Premises in Hong Kong which are converted from FD MALL Points. 

 

2.9

FD MALL

means website www.fdmall.hk as may be designated by FREE DUTY from time to time. 

 

2.10

FD MALL Point

means the credit point granted to FD MALL CLUB Members by FREE DUTY under the Programme. 

 

2.11

FD MALL Website

means the website at www.fdmall.hk

 

2.12

FD MALL CLUB Member

means any Member and other tier of members of FD MALL CLUB as may be designated by FREE DUTY from time to time.

 

2.13

Member

means a person admitted by FREE DUTY to be a FD MALL CLUB Member under the Programme subject to such terms and conditions as FREE DUTY may think fit and the term “Membership” shall be construed accordingly.

 

2.14

Net Spending Amount

means the spending amount after deduction of all payments by means of any physical/electronic gift vouchers, Discount and other vouchers and credits.

 

2.15

Programme

means the Programme operated and managed by FREE DUTY under the name of “FD MALL CLUB”.

 

2.16

Transaction

means the eligible transaction specified by FREE DUTY in these Terms and Conditions.

 

2.17

A reference to one gender includes a reference to all genders. 

 

2.18

Words in the singular includes the plural and vice versa. 

 

 

3.

ELIGIBILITY AND MEMBERSHIP – FD MALL CLUB MEMBERSHIP

 

3.1

Any individual aged 18 or above is eligible to apply for Membership as FD MALL CLUB Member or above upon satisfaction of the corresponding entry requirements as specified under Clause 4 hereinbelow.  Each individual is only entitled to have one (1) Membership account.

 

3.2

The registered name shall be the same as the applicant’s official identity document and FREE DUTY reserves the right to seek verification from the applicant. 

 

3.3

Approval of application for membership and grant of the relevant membership shall be at the sole and absolute discretion of FREE DUTY.  FREE DUTY may refuse to approve and grant any membership without giving any reason. 

 

3.4

The Membership and the Benefits in FD MALL CLUB are non-transferable and non-assignable and may only be used or enjoyed by that individual Member to whom the Membership and the Benefits are granted or issued. 

 

3.5

FREE DUTY may at any time without prior notice review the Membership tiers, and the criteria for eligibility to a particular membership, or reassign a Member to another Membership as FREE DUTY may decide.

 

 

 

4.

MEMBERSHIP ENTRY REQUIREMENTS

 

4.1

FD MALL CLUB Member

 

 

 

Any individual who satisfies the membership entry requirements as may be specified by FREE DUTY from time to time is eligible for application for Membership. 

 

 

5.

ELIGIBLE TRANSACTION

 

5.1

Only an eligible Transaction between a Member and FD MALL shall be counted towards the Accumulated Spending, and the Transaction shall EXCLUDE the following transactions:

(a)      Purchase of any kinds of membership(s);

(b)     Purchase of pre-paid items, cash vouchers, gift cards or coupons, stored value cards or pre-paid cards;

(c)     Purchase of show/event/exhibition tickets;

(d)     Purchase of Tobacco products or other service plan (including plastic bag levy);

(e)      Payments using Discount and/or physical or electronic gift vouchers;

(f)     Adding value to Octopus cards, stored value cards or pre-paid cards;

(h)     Currency exchange;

(g)     Any transactions with FREE DUTY and/or FD MALL physical store;

(i)     Any bank transactions;

(j)     Charity donations;

(k)     Any bill payment (including but not limited to payment of telecommunication or utility bills); and

(l)     Any other transactions between the Member and any Participating Merchant as specified by FREE DUTY from time to time (with or without prior notice).

 

 

6.

ELIGIBLE REGISTRATION

 

6.1

Members must login to their membership before checkout, their eligible transactions for spending accumulation/ FD MALL Points accumulation will be awarded to membership account after the eligible transaction has been completed successfully.

 

 

7.

FD MALL POINTS AND  DISCOUNT

 

7.1

All membership tiers are entitled to earn FD MALL Points. Unless otherwise specified, a Member will earn 1 FD MALL Point for every HKD1 he spent in a Transaction in FD MALL (excluding spending by Discount(s)). The earning proposition of FD MALL Points may vary for eligible Transaction made at other merchants/ partners outside of FD MALL. Members shall check with those merchants/ partners for the details of FD MALL Points earning. FREE DUTY is entitled to adjust the FD MALL Point earning rates at any time without any prior notice and to restrict or limit the number of FD MALL Points a Member will earn on each Transaction for the special Programmes, facilities and promotional activities.  FREE DUTY may from time to time organize promotional events for Members or selected Members for awarding FD MALL Points.  These Members may earn extra FD MALL Points through making purchase at designated merchant(s), shop(s), brand(s) or points of sale during the specific promotional period.  The invitations to the abovementioned promotional events are personal to the recipient Members.  Only Members who have received the event invitation may participate in the event and the invitation is not transferable to other persons, including other Member(s).

 

7.2

Relevant regular FD MALL Points shall be credited to Member’s account two days after the transaction date upon verification whereas bonus FD MALL Points shall be credited according to terms and conditions of each specific promotion(s).  The crediting period of the FD MALL Points may vary for eligible Transaction made at other merchants/ partners outside of FD MALL. Members shall check with those merchants/ partners for the details of FD MALL Points earning and crediting period. FREE DUTY may in its absolute discretion accommodate instant credit of FD MALL Points on a case by case basis. 

 

7.3

All membership tiers, i.e. General Member or above are entitled to convert FD MALL Points to Discount in Hong Kong. Conversion rate of each FD MALL Points amount is listed below:

FREE DUTY is entitled to adjust the Discount conversion rate at any time without any prior notice and/or to restrict or limit the amount of Discount a Member will spend on each Transaction for the special Programmes, facilities and promotional activities.

 

7.4

FD MALL Points converted into Discount, where once Discount been applied to any transaction in FD MALL, are not reversible to FD MALL Points. No refund is allowed and cannot be converted into cash. Spending by Discount are also not counted as spending amounts for promotional and redemption programmes organized by FREE DUTY. 

 

7.5

Members shall spend at least HKD100 Discount in FD MALL Merchants if he/she wishes to spend Discount by converting respective FD MALL Points. 

 

7.6

FREE DUTY will only offer FD MALL Points to a Member for the spending on an eligible Transaction between a Member and FD MALL and the Transaction as specified in Clause 5 hereinabove.

 

7.7

FREE DUTY is entitled to cancel or deduct the FD MALL Points of any Member if such FD MALL Points were granted by FREE DUTY to the Member by mistake or error.

 

7.8

A Member shall forthwith inform FREE DUTY of any Transaction where FD MALL Points have been earned but such Transaction is subsequently cancelled, refunded or reversed for whatever reasons.  In such circumstances, or if the Member fails to inform FREE DUTY but it has come to the knowledge of FREE DUTY of those cancelled, refunded or reversed Transaction(s), FREE DUTY shall be entitled to deduct the FD MALL Points earned from the said Transaction(s) from his/her account (including any extra FD MALL Points earned from the said Transaction(s) during any promotion event as may be in place from time to time).

 

7.9

Payment for any Transaction with Discount (whether in full or in part) cannot be refunded under any circumstances.

 

7.10

If a Member has already obtained the Benefits but does not have sufficient FD MALL Points for redemption of the Benefits for whatever reasons, the Member shall make up the shortfall by paying to FREE DUTY HKD100 for every 100 FD MALL Points or other ratio specified by FREE DUTY or its pro-rate amount. The Member agrees that the payment by the Member to FREE DUTY in the shortfall is an agreed liquidated damages but not a penalty.

 

7.11

Except for manifest errors, the records of FREE DUTY as to the number of FD MALL Points earned or used by a Member are conclusive.

 

7.12

The FD MALL Points which a Member has earned will be subject to points expiry date. On the Expiry Date, the remaining FD MALL Points unused will expire.  FREE DUTY reserves the right to shorten or extend the expiry period of FD MALL Points with or without notice to a Member.

7.13

Notwithstanding the foregoing, the FD MALL Points which a Member has earned within the seven (7) days immediately prior to the relevant Points Expiry Date will have an extension of validity period up and until the following points expiry date.   For example, for FD MALL Points earned during 25 December 2020 to 31 December 2020 (with original Points Expiry Date of 31 December 2020), the relevant KLUB Points will have an expiry date up and until 31 December 2021.

 

7.14

For the purpose of using the services mentioned in 7.1 hereinabove, each Member will be assigned a membership account and a password. The Member shall keep his membership account, username and password strictly confidential and in safe custody. The Member is fully responsible for any use of his membership account by any person (including any third parties whether with or without authority of the Member).

 

 

 

8.

REDEMPTION AND ENJOYMENT OF BENEFITS

 

8.1

 

A Member may only be able to claim certain items under the Benefits, at the respective FD MALL and/ or certain Designated Premises and/ or other location specified by FREE DUTY from time to time and FREE DUTY is entitled to make final decision on such items of Benefits. 

 

8.2

All Benefits are offered subject to availability and are offered only while stocks last (if applicable).

 

8.3

FREE DUTY is entitled to grant Benefits (including but not limited to using FD MALL Points and / or Discount) to a Member only when the Membership account of this Member is valid and in good standing as recognised by FREE DUTY.

 

8.4

Once FREE DUTY has accepted a redemption request (including conversion from FD MALL Points to Discount) from a Member, the redemption request by the Member cannot be changed or cancelled. 

 

8.5

A Member shall forthwith inform FREE DUTY of any Transaction where Benefits have been obtained/redeemed but such Transaction is subsequently cancelled, refunded or reversed for whatever reasons. In such circumstances, or if the Member fails to inform FREE DUTY but it has come to the knowledge of FREE DUTY of those cancelled, refunded or reversed Transaction(s), the Member shall pay to FREE DUTY forthwith upon notice from FREE DUTY for the value of the Benefits, which value shall be determined by FREE DUTY in its sole and absolute discretion. The Member agrees that the aforesaid payment by the Member to FREE DUTY is an agreed liquidated damages but not a penalty.

 

8.6 

FREE DUTY and the Designated Merchants are entitled to request a Member to present his/her e-Membership and, if necessary, other identification documents for verification of identities of the Member when the Member claims for any Benefits.

 

8.7

Employees and owners of the Participating Merchants who are also members of FD MALL CLUB are not eligible to: (i) redeem gifts from FD MALL; and/or (ii) register for FD MALL points, earned from purchases made from their own shop. FREE DUTY reserves the right to reject or invalidate any such point registration and/or gift redemptions.

 

 

 

9.

TERMINATION OR SUSPENSION OF MEMBERSHIP

 

9.1

FREE DUTY is entitled to forthwith terminate or suspend the membership of any Member and/or FD MALL CLUB Member in case the member breaches any of these Terms and Conditions or does not follow the instruction of the FREE DUTY. In addition, FREE DUTY reserves the right to forthwith terminate or suspend the membership of any Member and/or FD MALL CLUB Member at any time at the sole discretion of FREE DUTY without any reasons or compensation. FREE DUTY shall not be liable for any loss or damage resulting therefrom by any party in any event.

 

9.2

FREE DUTY is entitled to cancel all unused FD MALL Points of a Member forthwith upon termination of its Membership for whatsoever reasons without any compensation.

 

9.3

Termination of membership of the Member and/or FD MALL CLUB Member for whatsoever reasons shall be without prejudice to the accrued rights and remedies of FREE DUTY, the Participating Merchants and the Designated Merchants.

 

9.4

Upon death of a Member and/or FD MALL CLUB Member, his/her membership account shall be closed and all unused FD MALL Points (if any) shall be cancelled by FREE DUTY without any compensation.

 

 

10.

DISCLAIMERS AND EXCLUSION OF LIABILITIES

 

10.1

All liability, if any, on the part of FREE DUTY, its employee, affiliates, agents, suppliers and partner organizations as set out in these Terms and Conditions, expressed or implied by statute or otherwise, are hereby excluded to the fullest extent permitted by law. Without prejudice to the foregoing, the maximum liability of FREE DUTY to any Member and/or FD MALL CLUB Member shall not exceed HKD100 in aggregate in any event.

 

10.2

A Member and/or a FD MALL CLUB Member hereby is deemed to have read, understood and agreed that he does not rely on any statement, representation, assurance or warranty made by FREE DUTY and shall waive all of his rights, if any, against FREE DUTY in relation thereof.

 

10.3

Without prejudice to Clause10.2 hereinabove, FREE DUTY does not give any warranty for the quality or fitness of any of the Benefits and accepts no responsibility in respect of the following: -

(a)     refusal by FREE DUTY and any Designated Merchants to offer the Benefits;

(b)     unavailability of any of the Benefits; and

(c)     refusal of replacement or change of any of the Benefits or compensation or reward thereof by FREE DUTY or any Designated Merchants.

 

10.4

In case of any disputes between the Member and/or FD MALL CLUB Member and the Designated Merchants in relation to these Terms and Conditions or the Benefits, both parties shall resolve the disputes themselves. FREE DUTY shall have the right not to involve in the dispute provided that it shall be without prejudice to any rights of FREE DUTY under these Terms and Conditions, including exercising its rights to make final decision on the dispute.

 

10.5

The Designated Merchants may impose additional terms and conditions in respect of the Benefits available to the Member. The Member agrees to be bound by such additional terms and conditions in respect of the Benefits. 

 

 

11.

PERSONAL INFORMATION COLLECTION STATEMENT

 

11.1

FREE DUTY will deal with all personal data in accordance with the Personal Data (Privacy) Ordinance of the Laws of Hong Kong and the New World Group Privacy Policy Statement. The provisions of this clause set out the specific areas. 

 

11.2

The personal data collected from a Member and/or a FD MALL CLUB Member by FREE DUTY will be used for daily operation; administration of membership accounts and records; research and development; advertising, marketing, public relations and direct marketing (including joint marketing); communicating news and information; identification; processing of purchase orders; provision of goods, services, benefits, offers and promotions or others tailored to needs; fundraising; information and database administration; and other purposes in connection with or incidental to the aforesaid.

 

11.3

FREE DUTY may share the personal data with or transfer the same to any third parties (within Hong Kong or Mainland China), including but not limited to Anway Limited, Sky Connection Limited, K11 Group Limited and New World Development Company Limited, Chow Tai Fook Jewellery Group Limited, their respective holding companies, associated companies, fellow subsidiaries and any company in which any of the above has any interest (collectively “New World Group”) and the business associates, partners, agents, contractors, suppliers and providers of FREE DUTY for the purposes specified in Clause11.2 hereinabove.

 

11.4

A Member and/or a FD MALL CLUB Member has a right to request in writing the Personal Data Privacy Officer of FREE DUTY to:

(a)     access his personal data held by FREE DUTY (if any); and

(b)     require FREE DUTY to correct his personal data that is inaccurate (if any).

FREE DUTY may charge a reasonable fee for processing a data access request of a Member.

 

11.5

If a Member and/or a FD MALL CLUB Member has any questions or wishes to access or correct his personal data held by FREE DUTY, please contact FREE DUTY’s Personal Data Privacy Officer at:

11.6

The physical records of the personal data of a Member and/or a FD MALL CLUB Member will be stored in secured places with restricted access. The electronic records of the personal data of a Member and/or a FD MALL CLUB Member will be stored in the servers of FREE DUTY located in secured places. Only authorized personnel of FREE DUTY will have access to these records and servers.

 

11.7

Please also read the Privacy Policy Statement (https://www.fdmall.hk/tc/pages/privacy-policy?rewrite=privacy-policy)  of FREE DUTY at FD MALL Website which sets out the general privacy policy and practices of FREE DUTY in respect of its collection, holding and use of personal data. The Privacy Policy Statement is also applicable to the Programme.

 

 

12.

GENERAL CONDITIONS

 

12.1

The use of the FD MALL Website, Mobile App, FREE DUTY’s Official WeChat Account and facility by the Member and/or the FD MALL CLUB Member is also governed by, if any, the applicable terms and conditions and the Privacy Policy Statement of such website, app and facility.

 

12.2

FREE DUTY is entitled to impose additional terms and conditions in respect of the Membership, the FD MALL CLUB Membership, the FD MALL Points and the Benefits from time to time. Should there be any inconsistencies between these Terms and Conditions and those additional terms and conditions, those additional terms and conditions shall prevail.

 

12.3

FREE DUTY is entitled to transfer, assign, charge, sub-contract or otherwise dispose of any of the rights or obligations under these Terms and Conditions and the programme on such terms and conditions as FREE DUTY may at its sole discretion think fit at any time without any prior notice to the Member and/or FD MALL CLUB Member.

 

12.4

FREE DUTY is entitled to, at any time, modify the structure, contents and other features of the programme, including but not limited to joining programmes of or having arrangements with other programmes for customer rewards and targeted offers.

 

12.5

FREE DUTY is entitled to amend, suspend and terminate the programme at any time for commercial consideration as it deems fit by giving to the Members and/or FD MALL CLUB Members a one (1) week’s prior notice without any reasons or compensation. In addition, FREE DUTY reserves the rights to amend, suspend and terminate the programme at any time without any prior notice, reasons or compensation. FREE DUTY shall not be liable for any loss or damage resulting therefrom by any party in any event. 

 

12.6

FREE DUTY reserves the absolute right and discretion to amend, delete, modify and/or vary any of these Terms and Conditions, including but not limited to the privileges and benefits under FD MALL CLUB, at any time without prior notice.

 

12.7

Any failure to enforce a particular term herein by FREE DUTY does not constitute a waiver of that term.

 

12.8

FREE DUTY has the right to interpret these Terms and Conditions. In case of disputes, the decision of FREE DUTY will be final and binding on all parties concerned. 

 

12.9

The Chinese version of these Terms and Conditions is provided for reference only.  In the event of any discrepancy between the English version and the Chinese version, the English version shall prevail.

 

12.10

These Terms and Conditions shall be governed by the laws of Hong Kong.
